TERMS AND CONDITIONS OF SALE
UNLESS OTHERWISE EXPRESSLY AGREED IN WRITING, ALL SALES ARE SUBJECT TO THE FOLLOWING TERMS AND CONDITIONS:
This policy is a part of our Terms of Use. By ordering product from us you are agreeing to this policy and the Terms of Use.
General
Parkes Scientific Canada Inc. (“Seller” or “us”) hereby offers for sale to the buyer (“you or the “Buyer”) the products (the “Products”) on the express condition that the Buyer agrees to accept and be bound by these terms and conditions. Buyer’s receipt of the Products or the Seller’s commencement of services will constitute Buyer’s acceptance of these terms and conditions. This is the complete and exclusive contracts of the Seller and Buyer with respect to the Buyer’s purchase of the Products.
Orders
By placing an order with the Seller, you are (i) offering to purchase the product; (ii) representing that you are of legal age to form a binding contract; (iii) representing that all information that you provide us in connection with your order is true and accurate; (iv) representing that you have any permits or licenses that may be required for you to be authorized to purchase the product; and (v) representing that you are an authorized user of the payment method provided. The receipt by you of an order confirmation does not constitute our acceptance of your order. We retain the right to refuse any order made by you.
We reserve the right at any time after receipt of your order to accept, modify or decline your order or any portion thereof, even after receipt of an order confirmation from us, for any reason whatsoever.
Prices and Taxes
We reserve the right to change the published prices for the products at any time and without notice.
Prices for the Products shown on the Web Site exclude all sales, value added and other taxes or duties imposed on the sale, delivery or use of the Products – all of which are your responsibility to pay and will be added on checkout.
Payments
We accept payment by the following payment methods: VISA, MasterCard, American Express, PayPal, and NET 30 Invoices. All payments will be made in either Canadian or American Dollars, depending on final destination. NET term invoicing must be set up by contacting us and is subject to our credit approval process.
Shipping
Freight charges may be estimated at the time of checkout. However, these charges are subject to change depending on the type of product and shipping method selected. If a shipping method is not specified, we will contact you to determine your preferred method of shipping. Charges for freight and insurance if necessary will be added to your invoice. These charges will be determined based on the product specifications, dimensions, weight and any other specific shipping requirements (for instance if a product must be shipped cold, or is considered a Dangerous Good). Your final shipping costs may differ from what is estimated.
Parkes Scientific does not guarantee same day shipping for products that are in stock. Delivery dates estimated by the Web Site are not guaranteed and are offered primarily for convenience purposes.
Returns
If you need to return a Product please call (780) 484-1849 or email support@parkesscientific.com to discuss your return with our customer service team who will provide you with instructions for how to process your return. We will require your order reference number (found on the packing slip or invoice) and the reason for the return.
All returns for credit must be in new condition, have all software (if applicable), all accessories (if applicable), all paperwork (including but not limited to: manuals, certificates) and all original inner and outer packaging materials. The Product(s) must be returned within 90 days of the original shipping date.
We reserve the right to refuse a return for any reason or to charge a restocking fee. Certain items including but not limited to consumables or expired materials will not be eligible for a return. It is the responsibility of the Buyer to pay all freight charges to return the Product(s) to our facilities.
Indemnification by Buyer
The Buyer shall indemnify and hold harmless the Seller, its subsidiaries, affiliates, and their respective officers, directors, shareholders, employees, and agents from and against any and all damages, liabilities, actions, causes of action, suits, claims, demands, losses, costs and expenses (including without limitation solicitor and his own client fees and disbursements and court costs) to the extent arising from or in connection with:
- the negligence or willful misconduct of the Buyer, its agents, employees, representatives or contractors;
- use of a Product by itself or in combination with other equipment which would infringe upon the intellectual property rights of any person;
- use of a Product in any manner that is contrary to the design, specifications or instructions supplied by the Seller to the Buyer;
- use of a Product in an application or environment for which it was not designed;
- modification to a Product without the Seller’s prior written approval;
- use of a Product in violation of any law applicable to the Buyer and the Buyer’s use of the Products; and
- any use of a Product that would be a use outside of what a reasonable person would consider to be an appropriate use of the Product.
